Departure of Directors or Certain Officers; Election of Directors; Appointment of Officers; Compensatory Arrangements of Certain Officers.

On August 6, 2014, in connection with the appointment of William W. Moreton, as interim Chief Financial Officer and Principal Financial Officer, the Board of Directors of Panera Bread Company (the “Company”) and the Compensation and Management Development Committee of the Board of Directors of the Company approved an increase in Mr. Moreton’s annual base salary from $450,000 to $700,000, effective immediately.
