On September 18, 2019, the NASDAQ Stock Market (“NASDAQ”) suspended trading of Fred’s, Inc. Class A common stock (“common stock”). NASDAQ filed a Form 25 with the U.S. Securities and Exchange Commission on October 11, 2019, to delist the common stock from the NASDAQ Global Select Market. The delisting was effective 10 days after the filing of the Form 25. The deregistration of the common stock under Section 12(b) of the Securities Exchange Act of 1934 will be effective 90 days, or such shorter period as the U.S. Securities and Exchange Commission may determine, after filing of the Form 25.

Item 1.01. Entry into a Material Definitive Agreement

As previously disclosed, on September 9, 2019, Fred’s, Inc. (the “Company”) and certain of its subsidiaries (collectively with the Company, the “Debtors”) filed voluntary petitions (“Chapter 11 Cases”) under Chapter 11 of Title 11 of the United States Code in the United States Bankruptcy Court for the District of Delaware (the “Bankruptcy Court”). The Chapter 11 Cases are being jointly administered under the caption and case number, Fred’s, Inc., et al., Case No. 19-11984 (Jointly Administered).

On September 16, 2019, the Debtors filed with the Bankruptcy Court the Debtors’ Motion for an Order (I) Establishing Procedures for the Sale of Debtors’ Real Estate Assets, (II) Authorizing the Debtors to Retain and Compensate Real Estate Brokers in Connection Therewith, (III) Approving Stalking Horse Bid Protections, (IV) Approving the Sale of the Debtors’ Real Estate Assets Free and Clear of All Encumbrances and (V) Granting Related Relief (the “Sale Procedures Motion”).

On September 27, 2019, an order was entered by the Bankruptcy Court approving the Sale Procedures Motion (the “Sale Procedures Order”). On October 28, 2019, the Debtors conducted the Auction contemplated by the Sale Procedures Order (the “Auction”). At the conclusion of the Auction, R.A. Wilson Enterprises, LLC (“R.A. Wilson”) and Perry Ellis International, Inc. (“Perry Ellis”) were declared the successful bidders with respect to two different asset packages in accordance with the Sale Procedures Order for the Auction. Dollar General Corporation was declared the backup successful bidder in the event the sale to R.A. Wilson fails to close. Bantam Investments, LLC was declared the backup successful bidder in the event the sale to Perry Ellis fails to close.

On October 30, 2019, the Bankruptcy Court entered orders approving the sales on the terms set forth in the R.A. Wilson PSA (as defined below) and the Perry Ellis PSA (as defined below). The Bankruptcy Court Sale Orders are filed as Exhibits 99.1 and 99.2 hereto and incorporated herein by reference. R.A. Wilson’s bid included that certain Purchase and Sale Agreement dated as of October 8, 2019 (the “Original R.A. Wilson PSA”), as amended as of October 29, 2019 (the “R.A. Wilson PSA Amendment,” and together with the Original R.A. Wilson PSA, the “R.A. Wilson PSA” ). Perry Ellis’ bid included that certain Purchase and Sale Agreement dated as of November 1, 2019 (the “Perry Ellis PSA”). Pursuant to the R.A. Wilson PSA, R.A. Wilson agreed to purchase the portfolio of real estate assets listed on Exhibit A thereto from the Debtors for $22,300,000. Pursuant to the Perry Ellis PSA, Perry Ellis agreed to purchase the distribution center from the Debtors for $15,700,000. The R.A. Wilson PSA and the Perry Ellis PSA contain customary representations and warranties as well as various covenants. The closing of the transactions contemplated by the R.A. Wilson PSA and the Perry Ellis PSA are subject to various conditions precedent as specified in each agreement, including the entry of orders of the Bankruptcy Court approving each agreement.

On November 1, 2019, the Debtors filed with the Bankruptcy Court their monthly operating report for the period beginning September 9, 2019 and ending October 5, 2019 (the “Monthly Operating Report”). The Monthly Operating Report is attached hereto as Exhibit 99.3, and is incorporated herein by reference. This Current Report on Form 8-K (including the exhibits hereto) (this “Form 8-K”) will not be deemed an admission as to the materiality of any information disclosed in this Item 7.01. The Monthly Operating Report and other filings with the Bankruptcy Court related to the Chapter 11 Cases may be available electronically at https://dm.epiq11.com/Freds. Documents and other information available on such website are not part of this Form 8-K and shall not be deemed incorporated by reference in this Form 8-K.

Instead, the Company will file Current Reports on Form 8-K containing (i) disclosure of all material events in the Chapter 11 Cases and any other information required by the instructions to Form 8-K and (ii) as exhibits, the operating reports and any other documents that include unaudited financial information that are filed by the Company with the Bankruptcy Court.
