Entry into a Material Definitive Agreement. On August 1, 2006, the Compensation Committee of the board of directors of Culp, Inc. (the "Company") approved a discretionary bonus of $50,000 to be paid for fiscal 2006 to Franklin N. Saxon, President and Chief Operating Officer. Salary levels for all of the Company's named executive officers remain unchanged for fiscal 2007 from fiscal 2006 levels.
