On January 27, 2009, Joseph F. Munson resigned as a director of State Bancorp, Inc. (the “Company”) and State Bank of Long Island, effective January 31, 2009.


ITEM 8.01        OTHER EVENTS
 
On January 27, 2009 the Board of Directors of the Company (the “Board”) resolved to decrease the size of the Board from eleven (11) members to ten (10) members, effective with the resignation from the Board of Joseph F. Munson.
