Item 5.02.
Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On July 1, 2019, the Board of Directors (the Board) of Cintas Corporation (the Company or Cintas) appointed Karen L. Carnahan as a member of the Board.

The Company is filing this Current Report on Form 8-K/A as Amendment No. 1 to its Current Report on Form 8-K, originally filed with the Securities and Exchange Commission on July 1, 2019, to provide further information regarding the committee appointments of Ms. Carnahan. At the Board Meeting on July 23, 2019, Ms. Carnahan was appointed to the Audit Committee of the Board and the Nominating and Corporate Governance Committee of the Board.

This Amendment No. 1 is being filed solely to provide this information regarding Ms. Carnahan's committee appointments.
