Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On February 1, 2005, OneTravel Holdings, Inc. (the “Registrant”) received a notice from the American Stock Exchange (the “AMEX”), the national securities exchange that maintains the principal listing for the Registrant’s common stock, of the AMEX’s intention to file an application with the Securities and Exchange Commission to strike the common stock of the Registrant from listing and registration on the AMEX due to the failure to satisfy certain of the AMEX’s continued listing standards, specifically the failure to comply with sections 134 and 1001 of the AMEX Company Guide. This notice relates to the failure of the Registrant to timely file its Annual Report on Form 10-K for the fiscal year ended June 30, 2005 and its Quarterly Report on Form 10-Q for the fiscal quarter ended September 30, 2005 with the Securities and Exchange Commission, as required by Sections 134 and 1101 of the AMEX Company Guide.

The Registrant has requested an oral hearing in order to appeal the determination to strike the common stock of the Registrant from listing and registration on the AMEX.
