Item 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION

 

On October 20, 2004, Planar Systems, Inc. (the “Company”) issued a press release announcing financial results for the quarter and year ended September 24, 2004 and its expectations as to its financial results for the first quarter of fiscal 2005 ending December 31, 2004. The press release contains forward-looking statements regarding the Company, and includes cautionary statements identifying important factors that could cause actual results to differ materially from those anticipated.

 

The press release issued October 20, 2004 is furnished herewith as Exhibit No. 99.1 to this Report, and shall not be deemed filed for purposes of Section 18 of the Exchange Act.

 

Item 5.02. DEPARTURE OF DIRECTORS OR PRINCIPAL OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF PRINCIPAL OFFICERS

 

On October 18, 2004, the Company appointed Steve Buhaly to the additional role of Chief Operating Officer of the Company effective November 1, 2004. Mr. Buhaly, 46, has served as Vice President and Chief Financial Officer of the Company since October 1, 2000 prior to which he served as Vice President of the Company’s Medical Business Unit. Prior to joining Planar, Mr. Buhaly spent 15 years at Tektronix in a variety of General Management, Finance, and Manufacturing roles. Mr. Buhaly received his MBA from the University of Washington in 1984.
