Item 2.02 Results of Operations and Financial Condition.

     On February 1, 2010, Hudson Valley Holding Corp. (the “Company”) issued a press release reporting its financial results for the fiscal year ended December 31, 2009. A copy of the press release is attached as Exhibit 99.1 to this Current Report on Form 8-K.

     The information disclosed in this Item 2.02 shall be considered “furnished” but not “filed” for purposes of the Securities Exchange Act of 1934, as amended.

Item 8.01 Other Events.

     On February 1, 2010, the Company issued a press release announcing a cash dividend. A copy of the press release is attached as Exhibit 99.2 to this Current Report on Form 8-K.
