Item 8.01 Other Events.

     On December 22, 2009, Hudson Valley Holding Corp. (the “Company”) issued a press release announcing that the Company has submitted an application for regulatory approval to merge New York National Bank (“NYNB”) into Hudson Valley Bank, N.A. (“HVB”) and thereafter operate NYNB as a division of HVB. NYNB and HVB are currently both wholly-owned subsidiaries of the Company. A copy of the Company’s press release is attached hereto as Exhibit 99.1 and is incorporated herein by reference.
