Item 7.01 Regulation FD Disclosure

In connection with the combined pharmaceutical distribution request for proposal issued following its merger with Medco Health Solutions, Inc., Express Scripts, Inc. has informed Cardinal Health, Inc. (the “Company”) that it has decided not to renew its pharmaceutical distribution agreement with the Company. That agreement expires on September 30, 2012 and has provided approximately $9 billion of annual revenue to the Company, all of which is classified as bulk sales.
