ITEM 8.01.
OTHER EVENTS.

Nestor, Inc. has received notice from each holder of Nestor’s 7% Senior Secured Convertible Notes due 2011 (the “Notes”) exercising the holder’s right under the terms of the Notes to require Nestor to redeem 20% of the principal amount of the Notes on December 29, 2006. The aggregate principal amount of the Notes is $28.55 million and the aggregate amount to be redeemed is $5.71 million. Pursuant to the terms of the Notes, Nestor expects to redeem that portion of the Notes on December 29, 2006.
