Item 8.01 Other Events.

           On September 23, 2008, Stifel Financial Corp. (the "Company") announced that it intends to commence an underwritten public offering of 1,200,000 shares of its common stock. Of these shares, 1,000,000 will be offered by the Company and 200,000 will be offered by The Western and Southern Life Insurance Company. The underwriters will be granted a 30-day option to purchase up to an additional 150,000 shares of common stock from the Company and 30,000 shares from Western and Southern to cover over-allotments, if any. The Company will not receive any proceeds from the sale of common stock by the selling stockholder. The offering will be made pursuant to an effective shelf registration statement previously filed with the Securities and Exchange Commission.

Stifel Financial Announces Proposed Public Offering of Common Stock

1,000,000 Shares Offered by Stifel Financial and 200,000 Shares Offered by Selling Stockholder

ST. LOUIS, September 23, 2008 - Stifel Financial Corp. (the "Company") (NYSE: SF) announced today that it intends to commence an underwritten public offering of 1,200,000 shares of its common stock.  Of these shares, 1,000,000 will be offered by the Company and 200,000 will be offered by The Western and Southern Life Insurance Company.
