     As a result of management time devoted to the sale of the registrant's
financial services operations in connection with the dissolution and liquidation
of the registrant as previously approved by the stockholders, the registrant was
unable to complete the Form 10-K within the prescribed time period.

     The principal anticipated change in results of operations is that the
registrant's results of operations will improve in 2001 relative to 2000,
because most of the costs associated with the closure of the registrant's
transportation operations occurred in 2000. Nevertheless, the registrant is
expected to have a loss in 2001 as a result of those closure costs incurred in
2001.
