The Registrant requires additional time to prepare, finalize and file its Quarterly Report on Form 10-Q for the fiscal quarter ended January 31, 2008 in order to comply with the requirements of FASB Interpretation No. 48, “Accounting for Uncertainty in Income Taxes—an interpretation of FASB Statement No. 109,” whose adoption became effective November 1, 2007 and in order to finalize certain subsequent event disclosures. Consequently, the Registrant is unable to prepare, finalize and file such report by the filing deadline of March 11, 2008 without unreasonable effort or expense. The Registrant will file its Quarterly Report on Form 10-Q as promptly as practicable and expects that the Quarterly Report on Form 10-Q will be filed no later than March 17, 2008.
