(the "Registrant") hereby registers the sale of up to 94,000 shares of its Common Stock, one cent ($0.01) par value. Such shares may be issued upon the exercise of stock options granted pursuant to a Non-Qualified Option Agreement made effective the 1st day of November, 1997 between Shuffle Master, Inc. and John G.
