Item 3.01

 

On January 18, 2005, International Electronics, Inc. (IEI) received notice from NASDAQ that IEI does not comply with NASDAQ marketplace rule 4310(c)(2)(B) which requires IEI to have a minimum of $2,500,000 in stockholders equity or $35,000,000 market value of listed securities or $500,000 of net income from continuing operations for the most recently completed fiscal year or two of the three most recently completed fiscal years. Although IEI experienced an operating loss in the first quarter of its fiscal year which caused IEI to have less than the required stockholders equity at the end of that quarter, IEI expects to return to profitability during the balance of fiscal 2005. As of this filing, IEI intends to carry on its business in the ordinary course so that by August 31, 2005, the Company will have sufficient stockholders equity to maintain its listing with NASDAQ. Otherwise IEI will consider, as appropriate, other actions and responses to its noncompliance.
