To All Hexcel Employees:

It is my pleasure to share some terrific news with you! Today, Hexcel announced an agreement to combine with Woodward, a leading designer, manufacturer and service provider of control solutions for the aerospace and industrial markets. This is the most significant transaction in the long histories of each of our companies.

Hexcel and Woodward are coming together in a merger of equals – two highly successful, innovative technology leaders combining to create a premier integrated systems provider serving the aerospace and industrial sectors. When this transaction is complete, our new company – to be named Woodward Hexcel – will be one of the world’s largest aerospace and defense suppliers with more than 16,000 employees and manufacturing locations in 14 countries across five continents. Together, Hexcel and Woodward will focus on technology-rich innovations to deliver cleaner, smarter, and safer customer solutions.

Hexcel and Woodward are a great combination, and this is the right time for us to join together. The future of flight and energy efficiency will be defined by next-generation platforms delivering lower cost of ownership, reduced emissions, and enhanced safety – and a combined Hexcel and Woodward will be at the forefront of this evolution. Woodward’s innovative control systems coupled with our advanced lightweight materials will drive improved reliability, greater efficiency and lower emissions while supporting evolving customer needs.

Following the close of the transaction later this year, I will serve as CEO of the combined company and the new Woodward Hexcel will be headquartered in Fort Collins, Colorado. Additionally, I will serve as a member of the Board and Tom Gendron, Woodward’s CEO, will serve as Executive Chairman. I have known Tom for a number of years, and I am incredibly excited about what we can accomplish by uniting our two world-class companies and employee teams. As you learn more about Woodward, I am sure you will see the similarities in our values, cultures and operating philosophies.

While today is incredibly exciting for Hexcel and Woodward, it is important to remember that these are the early days. More details on how our companies will operate as one after the closing of the transaction will be determined in the coming months by a joint Woodward-Hexcel integration planning team. Following the closing of the transaction, many of us will see little to no impact on local leadership or our day-to-day operations. We expect Hexcel and Woodward employees to benefit from growth and new career development opportunities that result from being part of a larger, stronger organization. We are committed to keeping you updated as we move ahead.

Until the close of the transaction, Hexcel and Woodward will continue to operate as separate, independent companies. We ask that you stay focused on all of the things we do well – satisfying customers, working efficiently and producing quality products safely and on time.
