On April 30, 2014, Mr. Beckman transferred 501 shares of Common Stock to Berkshire Partners, LLC ("Berkshire") pursuant to an understanding between Greenbriar Equity Group LLC ("Greenbriar") and Berkshire. Mr. Beckman had previously held such shares for the benefit of Berkshire.
Includes 3,448 restricted stock units ("RSUs") granted to Mr. Beckman under the Hexcel Corporation 2013 Incentive Stock Plan and 23,315 RSUs granted to Mr. Beckman under the Hexcel Corporation 2003 Incentive Stock Plan. Pursuant to an understanding between Mr. Beckman and Greenbriar, 3,093 of such RSUs are held by Mr. Beckman for the benefit of Greenbriar, of which Mr. Beckman is a member. Mr. Beckman disclaims beneficial ownership of these 3,093 RSUs except to the extent of his pecuniary interest therein.
