(b)    On September 7, 2019, Joichi Ito resigned from the Board of Directors of The New York Times Company (the “Company”), effective immediately. A copy of the Company’s press release, dated September 7, 2019, announcing Mr. Ito’s resignation is attached as Exhibit 99.1 and incorporated by reference herein.
