 the contingent warrants provide that such contingent warrants would become exercisable if a financial test measuring
 consolidated cash flow of the issuer for 2005 was not satisfied.  On March 31, 2006, Glencore received a notice from the
 issuer stating that the financial test described in the preceding sentence was not satisfied, and that the contingent
 warrants were therefore immediately exercisable.</footnote>
