Mr. Tanenbaum is Chairman, sole director and Chief Executive Officer of Kilmer and the President and Director of LCW.  Mr. Tanenbaum and his wife, Mrs. Tanenbaum control LCW as a result of their beneficial ownership of approximately 86% of the common stock of Kilmer and their control of a family trust that controls a corporation that holds the remaining 14% of the common stock of Kilmer.  On May 15, 2006, upon its acquisition of outstanding shares from other shareholders, Kilmer wound-up  LCW into Kilmer, and as a result, the beneficial ownership of the warrant was transferred to Kilmer.  The Reporting Person disclaims beneficial ownership of the reported securities except to the extent of his pecuniary interest therein.</footnote>
