Item 5.02 Departure of Directors or Principal Officers; Election of Directors;
          Appointment of Principal Officers.



On August 15, 2007, The Board of Directors of Microwave Filter Company, Inc.
appointed Perry Harvey as a Director to replace Arnold Poltenson who resigned.

There are no arrangements or understandings pursuant to which Mr. Harvey was
selected as a director.

Mr. Harvey has not been assigned to any committee of the Board of Directors at
the time of this disclosure.

No transactions have occurred in the last two years to which the Registrant
was a party in which Mr. Harvey had or is to have a direct or indirect
material interest.

The registrant's shareholders will be asked to ratify the appointment of Mr.
Harvey to its Board of Directors when next convened for a meeting.
