ITEM 5.02. DEPARTURE OF DIRECTORS OR CERTAIN OFFICERS; ELECTION OF DIRECTORS; APPOINTMENT OF CERTAIN OFFICERS; COMPENSATORY ARRANGEMENTS OF CERTAIN OFFICERS.
On October 2, 2011, the Board of Directors of Regis Corporation (the Company) appointed Randy L. Pearce as Chief Executive Officer effective February 9, 2012. Mr. Pearce currently serves as the Companys President, a position he has held since February 2, 2011, and thus will hold the title of President and Chief Executive Officer commencing February 9, 2012. Mr. Pearce served as Senior Executive Vice President of the Company from 2006 to 2011, as Executive Vice President from 1999 to 2006, as Chief Administrative Officer from 1999 to 2011 and as Chief Financial Officer from 1998 to 2011. Additionally, he was Senior Vice President, Finance from 1998 to 1999, Vice President of Finance from 1995 to 1997 and Vice President of Financial Reporting from 1991 to 1994. Mr. Pearce will hold his office until a successor has been duly elected, or until his prior resignation or removal. A copy of the News Release issued by the Company in connection with this appointment is attached as Exhibit 99 and incorporated by reference herein.

Minneapolis, MN October 3, 2011 Regis Corporation (NYSE: RGS), the global leader in the $160 billion hair care industry, today announced the next step in its planned CEO succession process: the Regis Board of Directors has named Randy L. Pearce, currently President of Regis, as Chief Executive Officer, effective in February 2012. Mr. Pearce will succeed Paul D. Finkelstein.
Randy has done an outstanding job as President and we are thrilled to announce his upcoming appointment as Chief Executive Officer of Regis, said Paul D. About Randy L. Pearce
Mr. Pearce, age 56, joined Regis Corporation in 1985 after serving four years with the international public accounting firm of Coopers & Lybrand, and has moved through a variety of finance positions at Regis.
Mr. Pearce holds a Bachelor of Arts degree in Accounting from the University of Northern Iowa. He is a graduate of the University of Minnesotas Carlson School Executive Management program. He is a CPA and an active member of the American Institute of Certified Public Accountants, the Financial Executives Institute (FEI) and the International Council of Shopping Centers (ICSC). He also serves on the board of Ascena Retail Group (Nasdaq: ASNA) as well as the Boy Scouts of America.
