The Selling Avenue Funds sold an aggregate of 1,600,000 shares of Common Stock to Buyer at $11.31 per share, for an aggregate purchase price of $18,096,000.00. Avenue Capital Partners VI, LLC, a Delaware limited liability company ("Avenue Capital VI"), is the general partner of Avenue Spec VI.
