ITEM 2.04    TRIGGERING EVENTS THAT ACCELERATE OR INCREASE A DIRECT FINANCIAL OBLIGATION OR AN OBLIGATION
         UNDER AN OFF-BALANCE SHEET ARRANGEMENT.
 
On October 10, 2013, the Company elected to redeem $27.5 million in aggregate principal amount outstanding of its 7 5/8% Senior Notes due 2018 at a price equal to 103% of the principal amount of the notes redeemed, plus accrued interest to the redemption date.  The redemption date will be November 27, 2013, and an aggregate of approximately $29.4 million, which includes interest that will accrue by the redemption date, will be required to redeem these notes.
