Item 5.03 Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On September 25, 2007, the Company’s Board of Directors amended the Company’s bylaws to correct section reference errors, more clearly describe the authority of the chairman to prescribe rules and procedures for the annual meeting of stockholders, and to provide for book entry of stock issuances. A copy of the amended bylaws is attached hereto as Exhibit 3.1.
