Item 8.01. Other Events.

On August 8, 2005, Lipid Sciences, Inc., a Delaware corporation, announced that Richard G. Babbitt, Chairman of the Board of Directors, died on August 6, 2005. Mr. Babbitt served as the Lead Independent Director, as Chairman of the Audit Committee and the Nominating and Corporate Governance Committee, and as a member of the Executive Committee. Vice Chairman H. Bryan Brewer, Jr., M.D. and President and Chief Executive Officer S. Lewis Meyer, Ph.D. will perform the duties of the Chairman pending an opportunity for the Board of Directors to meet and determine appropriate succession.
