(ATTACH EXTRA SHEETS IF NEEDED) The principal cause of the Company's inability to timely file its Quarterly Report on Form 10-Q for the period ended March 31, 1998 is that due to certain transactions which occurred late in the first quarter the disclosure requirements were more extensive than normal. The Company is accustomed to relying on its internal audit procedures and in-house staff for the preparation of the Quarterly and Annual Reports. However, due to changes in personnel during the first quarter and the late-occurring transactions the Company has sought review of the Quarterly Report by the Company's outside auditors and outside legal counsel for assistance in reviewing the accuracy and completeness of its disclosure information. At the time of filing, the outside review was ongoing and the Company was unable to finalize the Quarterly Report on Form 10-Q for a timely filing.
