Item 8.01. Other Events.

On November 21, 2023, First Financial Corporation issued a press release to report the declaration of the quarterly dividend of $0.45 per share payable January 16, 2024, to shareholders of record on January 2, 2024.

The Corporation further announced its intention to pay dividends quarterly as opposed to semi-annually as in the past.

The release is furnished as Exhibit 99.1 hereto.
