Effective January 1, 2006, the Board of Directors of the Registrant named John J. DeLaney, Jr. to the Board of Directors of the Registrant. Mr. DeLaney is an Attorney and Partner with the law firm of Cooper Rose & English (Summit, New Jersey) and, served as the Mayor of Morristown, New Jersey from 1998 through 2005. He did not seek a third term in office.  Mr. DeLaney, personally and as a trustee, is a depositor of the Registrant’s bank subsidiary.

Mr. DeLaney has been named to the Compensation Committee, Nominating Committee and Executive Committee of the Boards of Directors of the Registrant and the Registrant’s bank subsidiary.
