Item 8.01.  Other Events.

Proxim Wireless Corporation has received notification from The NASDAQ Stock Market that NASDAQ has extended, through April 20, 2009, the suspension of its rules requiring a minimum $1.00 closing bid price and a minimum market value of publicly held shares due to the continued extraordinary market conditions.  NASDAQ stated that any company (such as Proxim) in the compliance process for one of these concerns will continue to be “frozen” at the same stage of the process until the end of the suspension.  However, companies could be delisted for other reasons during the suspension.
