Item 5.05.  Amendments to the Registrant’s Code of Ethics, or Waiver of a Provision of the Code of Ethics.

Effective January 3, 2008, the Board of Directors of Proxim Wireless Corporation approved a revised Statement of Business Conduct and Code of Ethics.  The revisions updated the name of the company from Terabeam, Inc. to Proxim Wireless Corporation.  The revisions also added the Chairman of the Audit Committee of Proxim’s Board of Directors as a person who could be contacted to report noncompliance.  The revisions also added a signature page on which parties subject to this Statement of Business Conduct and Code of Ethics acknowledge receipt of and their agreement to comply with the Statement of Business Conduct and Code of Ethics.

This revised Statement of Business Conduct and Code of Ethics is posted on the company’s Internet website at http://www.terabeam.com/code_ethics.php.
