Item 8.01     Other Events.

        On May 25, 2005, YDI Wireless, Inc. repurchased 1,000,000 shares of its common stock for an aggregate purchase price of $2,000,000. This stock had originally been issued in a private placement in May 2004 as part of the consideration paid to the stockholders of KarlNet, Inc. in connection with YDI's acquisition of KarlNet.

        YDI issued a press release announcing this stock repurchase on May 31, 2005. A copy of that press release is attached hereto as Exhibit 99.1.
