Item 8.01 Other Events.

        On December 17, 2004, YDI Wireless, Inc. repurchased 500,000 shares of its common stock for an aggregate purchase price of $1,155,000. This stock had originally been issued in a private placement in December 2003 to a single accredited investor. In connection with the repurchase, the investor released YDI from obligations arising under the original stock purchase agreement, including the obligation to register the stock with the Securities and Exchange Commission.

        YDI issued a press release announcing this stock repurchase on December 20, 2004. A copy of that press release is attached hereto as Exhibit 99.1.

        Falls Church, VA, December 20, 2004 – Terabeam Wireless, the business name of YDI Wireless, Inc. (NASDAQ:YDIW), a leading developer and supplier of broadband wireless solutions, today announced that it has repurchased 500,000 shares of its common stock for $1,155,000. This stock had originally been issued in a private placement in December 2003.
