Subsequent Events:

On November 6, 2012, The Company held its annual stockholders' meeting. The following proposals were approved:

• The re-election of the Board of Directors;

• The appointment of Fahn Kanne, Grant Thornton Israel as the Company's auditors for  the 2012 financial statements.
