Item 5.02. Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On July 25, 2006, the Board of Directors (the “Board”) of Applied Micro Circuits Corporation (the “Company”) elected Niel Ransom as a member of the Board. The Board also named Dr. Ransom to the Compensation Committee of the Board. The Company is not aware of any transaction requiring disclosure under Item 404(a) of Regulation S-K.
