Item 5.02.  Departure of Directors or Principal Officers; Election of Directors; Appointment of Principal Officers.

On December 27, 2005, Roger A. Smullen, Sr. notified Applied Micro Circuits Corporation (the “Company”) that he plans to resign from the Company’s board of directors, effective immediately following the next regularly scheduled meeting of the board of directors to be held on February 15, 2006. Mr. Smullen’s decision to resign was not the result of any disagreement with the Company.
