Option vests as to 1,000,000 shares over 16 monthly installments beginning January 1, 2003 so that 62,500 shares vest monthy until A
pril 1, 2004.  An additional 950,000 shares vest over 19 monthly installments beginning on May 1, 2004 so that 50,000 shares vest mo
nthly until December 1, 2005. The balance of 490,000 shares vest in full on December 1, 2005.
