(b)        On July 15, 2009,  Mr. Gordon A. Gundaker resigned  his  positions as
           Director and  Member of  the  Audit  Committee of  First Banks, Inc.,
           effective immediately.  Mr. Gundaker's decision to resign was not the
           result of any disagreement with the Company on any matter relating to
           the Company's operations, policies or practices.
