Item 1.01.    Entry into a Material Definitive Agreement
 
On August 28, 2006, the Leadership Development and Compensation Committee of Sun Microsystems, Inc. approved an amended and restated Section 162(m) Executive Officer Performance-Based Bonus Plan and the bonus terms for the fiscal year ended June 30, 2007 for executive officers under the Section 162(m) Executive Officer Performance-Based Bonus Plan. Each executive officer's target incentive award, specified as a percentage of their base salaries, remained unchanged from fiscal 2006.
