Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On December 14, 2010, Farmers National Banc Corp. ("Registrant") received a letter, dated December 14, 2010, notifying the Board of Directors of the Registrant and Farmers National Bank ("Bank") that Bejamin R. Brown was planning to retire from both boards effective December 31, 2010. Mr. Brown had been a member of the Board of Directors since 1991. Mr. Brown, who has served on the Board’s Loan Committee and the Risk Management Committee, is a member of the class of directors whose terms will expire in 2012. The resignation of Mr. Brown does not involve any disagreements with the Registrant on any matter relating to its operations, policies or practices.
