Item 5.02. Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On October 2, 2012, Maureen A. Spivack, a member of the Board of Directors (the “Board”) of Quality Systems, Inc., notified the Chairman of the Board of her intent to resign as a director due to conflicting employment obligations. Ms. Spivack’s resignation will be effective as of October 15, 2012.
