Item 2.02.    Results of Operations and Financial Condition.
On January 27, 2022, Cass Information Systems, Inc. (the “Company”) issued a press release announcing its financial results for the fourth quarter of fiscal 2021. A copy of this press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.

On January 27, 2022, the Company also announced that its Board of Directors declared a first quarter dividend of $0.28 per share payable on March 15, 2022 to shareholders of record on March 4, 2022.
