INTRODUCTORY STATEMENT

This Tender Offer Statement on Schedule TO (“Schedule TO”) is filed by Bank of America Corporation (the “Company”), a corporation existing under the laws of Delaware, and relates to the Company’s offer to exchange up to 200,000,000 newly-issued shares of the Company’s common stock, par value $0.01 per share (the “Common Stock”) for outstanding depositary shares (the “Depositary Shares”), representing fractional interests in shares of the series of preferred stock (the “Preferred Stock”) listed below, made on the terms and subject to the conditions set forth in the Offer to Exchange and the related Letter of Transmittal (which together constitute the “Exchange Offer”), which are filed as exhibits to this Schedule TO.
