The title of the class of securities to be registered hereunder is: Bank of America Corporation 6.000% Subordinated InterNotes, due 2034 (the “Notes”). A description of the Notes registered hereunder is set forth under the caption “Description of Notes” in the prospectus (the “Prospectus”) dated April 15, 2004 that constitutes part of the Registrant’s Registration Statement on Form S-3 (Registration No. 333-97157) (the “Registration Statement”) filed with the Securities and Exchange Commission (the “Commission”) on July 26, 2002, as amended, which is incorporated herein by reference.
