ITEM 2.02. RESULTS OF OPERATIONS AND FINANCIAL CONDITION.

     On September 2, 2004, America West Airlines, Inc. (the “Company”), a wholly owned subsidiary of America West Holdings Corporation, announced via press release certain traffic statistics for August 2004. A copy of the Company’s press release is furnished herewith as Exhibit 99.1 and is incorporated herein by reference.
