Item 8.01 Other Events

On December 22, 2016, the Board of Directors of Horizon Bancorp (the “Company”) announced that it has approved an increase in the Company’s quarterly cash dividend from $0.10 to $0.11 per share, payable on January 20, 2017 to shareholders of record on January 6, 2017. Additional information about the dividend increase is included in the press release attached as Exhibit 99.1 to this Current Report on Form 8-K.

HORIZON BANCORP ANNOUNCES A 10.0% QUARTERLY DIVIDEND INCREASE

Michigan City, Indiana – Horizon Bancorp (NASDAQ GS: HBNC) announced today that its Board of Directors has approved an increase in its quarterly dividend from 10 cents to 11 cents per share. This represents a 10.0% increase and a dividend yield of 1.58% based on the price per share of $27.91 as of the close of business on December 21, 2016.  The dividend will be paid on January 20, 2017 to shareholders of record on January 6, 2017.
