Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

Effective March 15, 2006, the Board of Directors of National Research Corporation (the “Company”) amended Section 3.01 of the Company’s by-laws to increase the size of the Board from six directors to seven directors. Copies of the amendment to the by-laws and the Company’s by-laws, as so amended are filed as Exhibit 3.1 and Exhibit 3.2, respectively, to this Current Report and are incorporated herein by reference.
