Item 7.01 Regulation FD Disclosure.

 

On August 1, 2007, Healthways, Inc. (the “Company”) acquired substantially all of the assets of First Opinion Corporation, including certain systems, software applications and supporting intellectual property relating to medical diagnosis and treatment advice, for $22.3 million in cash plus other contingent consideration. These assets will support the Company’s future WholeHealth initiatives.
