ITEM 8.01            OTHER EVENTS.

 

As previously disclosed, on October 26, 2015, VBI Vaccines Inc., a Delaware corporation (the “Company”), entered into an Agreement and Plan of Merger (the “Merger Agreement”) with SciVac Therapeutics, Inc., a corporation organized under the laws of British Columbia, Canada (“SciVac”), and Seniccav Acquisition Corp., a Delaware corporation and wholly owned subsidiary of SciVac (“Sub”). The Merger Agreement provides, subject to the satisfaction of certain conditions, that Sub will merge with and into the Company, with the Company surviving as a wholly owned subsidiary of SciVac (the “Proposed Merger”).

 

In connection with the Proposed Merger, the Company and SciVac issued a joint press release on October 30, 2015, announcing that the Company and SciVac will host a joint conference call for their respective shareholders on Thursday, November 5, 2015 at 3P.M. ET. The call will be hosted by Jeff Baxter, President & CEO of the Company and Dr. Curtis Lockshin, CEO of SciVac, who will discuss the Proposed Merger and provide shareholders of the Company and SciVac with an opportunity to ask questions regarding the Proposed Merger.
